Terms and Conditions

1. Acceptance of Terms
By creating an account or using the FlexiDuka platform ("Service"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Service.
2. Description of Service
FlexiDuka is an ecommerce platform that allows merchants to create and manage online storefronts. Merchants can list products, receive customer orders, and integrate M-Pesa payment processing. FlexiDuka acts solely as a software platform. It does not hold, process, or transmit payment funds on behalf of merchants.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@flexiduka.com if you believe your account has been compromised.
4. Store Activation and Subscription
Creating a store is free. Your store becomes publicly visible to customers only after you activate it by paying the annual activation fee of KES 2,999. Subscriptions are non-refundable once the store has been activated and made public. You may cancel your subscription at any time, but your store will be deactivated at the end of the paid period.
5. Merchant Responsibilities
As a merchant you agree to:
- List only products and services that you are legally permitted to sell.
- Fulfil customer orders promptly and honestly.
- Maintain accurate product descriptions, pricing, and availability.
- Comply with all applicable Kenyan laws and regulations, including consumer protection laws.
- Not use the platform to sell counterfeit, prohibited, or illegal goods.
6. Payments
FlexiDuka integrates with Safaricom M-Pesa via the Daraja API to facilitate STK Push checkout. All customer payments go directly to the merchant's registered M-Pesa Till or PayBill number. FlexiDuka does not hold, process, or take a percentage of transaction funds. Merchants are solely responsible for managing their payment accounts and resolving disputes with customers.
7. Prohibited Conduct
You may not use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property rights of any third party.
- Transmit spam, malware, or other harmful content.
- Attempt to gain unauthorised access to other accounts or systems.
- Interfere with the availability or security of the platform.
8. Intellectual Property
FlexiDuka and its logos, trademarks, and software are the property of FlexiDuka. You retain ownership of all content you upload (product images, descriptions, etc.). By uploading content you grant FlexiDuka a non-exclusive licence to display it within the platform for the purpose of running your storefront.
9. Limitation of Liability
To the maximum extent permitted by law, FlexiDuka shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to loss of revenue, data, or customers. Our total liability in any matter shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
10. Termination
We reserve the right to suspend or terminate your account at any time if you breach these Terms. You may delete your account at any time by contacting us. Upon termination your store will be taken offline; your data may be retained for a reasonable period before deletion.
11. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in your dashboard. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
